Moodlight MCP Terms of Service
Moodlight Intelligence, a trade name of Rival Media Group, Inc. Effective September 17, 2026. These terms apply to the Moodlight MCP server at mcp.moodlightintel.com and to any key issued for it, however it is connected. By connecting a key, or by subscribing, you agree to them on behalf of your organization.
1. What you are licensing
A key gives your organization access to Moodlight's tools: the live measurement of news and social conversation, Moodlight's strategic reads, and the marketplace agents, at the tier the key carries. You are licensing access to the service. You are not buying the underlying data, the models, or the prompts.
2. Keys and organizations
Keys are issued to organizations, not to the public. One key may be used by people inside the organization that holds it. Do not share a key outside your organization, post it, or embed it in anything public. If a key is exposed, tell us and we will replace it. You are responsible for use made with your key.
3. Fair use
Each key carries a monthly allowance by tier (as of the effective date: 150 full reads, 75 agent runs, and 2,000 signal calls per month on the standard tiers, with three jobs running at once). When an allowance is used, the tool says so and the allowance resets on the first of the month. Higher allowances are available; ask. Automated loops that exist to exhaust the allowance, attempts to bypass it, and any use that degrades the service for others are not permitted.
4. What you may do with outputs
Use reads, signals, and agent outputs in your own work and your clients' work, including in documents, presentations, and campaigns. Attribution is welcome and not required.
You may not resell, sublicense, or redistribute Moodlight outputs or measurements as a product or data feed, train a model on them, or present the measurement as your own instrument. Everything else a strategist would normally do with research, you may do.
5. Outputs are judgment, not advice
A Moodlight read is Moodlight's judgment on a measurement of a tracked sample of public conversation. It is not a census, not market research in the survey sense, and not legal, financial, medical, or investment advice. Every read names the condition under which it would be wrong; check it before you act on it, and verify any figure before it goes in front of a client. Agent outputs about regulated subjects (alcohol, health, finance, minors) are drafted with compliance in mind but are not cleared for use; your own legal review is yours to run.
6. Subscriptions, trials, and cancellation
Paid tiers are billed by Stripe monthly or annually in advance. A trial period, where offered, requires a payment method and converts to a paid subscription unless cancelled before it ends. You may cancel at any time; access continues to the end of the paid period and the key is then revoked. Founding prices are locked for the period stated at purchase. Fees are not refunded for partial periods except where the law requires.
7. Revocation
We may revoke a key for breach of these terms, for use that harms the service or others, or for non-payment. We will say why. Revocation ends all sessions on that key immediately.
8. Availability
Moodlight is in early access. It is live and monitored, and we fix what breaks quickly, but there is no uptime guarantee and no service-level commitment. A server update can interrupt a running job; interrupted jobs are re-run automatically where possible, and any job can be started again. We may change tools, allowances, and tiers; material changes are posted with a new effective date, and price changes take effect at your next renewal.
9. Privacy
What Moodlight receives, keeps, and never sees is set out in the Privacy Policy, which is part of these terms. In one line: Moodlight receives only the questions and briefs your assistant sends it, keeps them for 30 days, and never has access to your files, conversation, or systems.
10. Ownership
Moodlight owns the service, the measurement, the models, the prompts, and the Moodlight name. You own your briefs and questions. Outputs generated for you are yours to use under section 4; Moodlight keeps the right to use aggregate, de-identified usage information to operate and improve the service.
11. Liability
To the extent the law allows: the service is provided as is; Moodlight makes no warranty that a read is accurate, complete, or fit for a particular purpose; and Moodlight's total liability to your organization for anything arising from the service is limited to the fees you paid in the twelve months before the claim. Neither party is liable to the other for indirect or consequential loss.
12. Changes and contact
These terms may change; the current version is always at this address, with its effective date. Continued use after a change is acceptance of it. Questions, exposure reports, allowance requests, and cancellations that need a human: intel@moodlightintel.com.
